TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale govern purchases made through Miuete.com and the local versions of the Miuete store (hereinafter “Miuete”, the “Store”, “we”, “us” or “our”).

Before placing an order, we recommend that you carefully read these Terms and Conditions together with our Privacy Policy, Shipping Policy and Returns and Refunds Policy.

By placing an order, the customer confirms that they have read and accepted the terms applicable to their purchase.

Nothing in these Terms limits any mandatory rights granted to consumers under applicable law.

UAB Sidabriniai is a company incorporated and registered in the Republic of Lithuania.

Miuete also operates customer service and return arrangements for the Spanish market. The applicable return address will be provided when a return is initiated and is set out in our Returns and Refunds Policy.

2. SCOPE

These Terms apply to the sale of products through the Store to consumers and, where relevant, other customers.

For the purposes of these Terms, a consumer is a natural person making a purchase mainly for purposes outside their trade, business, craft or profession.

Where any provision of these Terms conflicts with a mandatory consumer right under applicable law, the mandatory consumer right will prevail.

3. PRODUCTS

Miuete makes reasonable efforts to describe and display its products as accurately as possible.

Product images are illustrative. Colours, reflections, proportions or the appearance of an item may vary slightly depending on screen settings, lighting, the device used or the natural characteristics of certain materials.

Minor variations inherent in natural materials, stones, finishes or artisanal processes will not necessarily constitute a defect where they do not affect the product's conformity with its description and reasonably expected quality.

The essential characteristics of each product, including materials, dimensions and other relevant specifications, are stated on the relevant product page.

Product availability is subject to stock.

4. PRICES, TAXES AND ADDITIONAL CHARGES

The applicable price is the price displayed in the Store when the order is placed.

For sales directed to consumers in Spain, prices are displayed in euros (€) and include applicable taxes, including VAT where applicable.

Shipping charges and any other applicable additional costs will be shown to the customer before the order is finally confirmed.

The customer will have the opportunity to review the total price before making payment.

For deliveries outside the European Union, the recipient may be subject to import duties, taxes or other charges imposed by the authorities of the destination country. Where applicable, these charges are the recipient's responsibility unless expressly stated otherwise before the order is placed.

If an obvious pricing error occurs, Miuete will contact the customer before processing the order. The customer may then confirm the purchase at the correct price or cancel the order and receive a full refund of any amount already paid.

5. PLACING AN ORDER AND FORMATION OF THE CONTRACT

To place an order, the customer must select the desired products, provide the information necessary for delivery and billing, and complete the payment process.

Before confirming the order, the customer will have an opportunity to review and, where appropriate, correct the information entered.

After an order has been received, Miuete will send an electronic confirmation to the email address provided by the customer.

Miuete may reject or cancel an order before dispatch where there is a justified reason, including:

• lack of product availability;

• inability to authorise or receive payment;

• an obvious error in price or description;

• reasonable suspicion of fraud or unlawful use;

• a legal or logistical inability to deliver the order.

If an order that has already been paid for is cancelled, the corresponding amount will be refunded in full without undue delay.

6. PAYMENT

The payment methods currently available are displayed during checkout.

The customer confirms that they are authorised to use the selected payment method and agrees to provide accurate and up-to-date information.

Transactions may be processed by third-party payment service providers. Miuete does not necessarily store the complete payment-card details used by the customer.

Orders may be subject to reasonable security and fraud-prevention checks.

7. SHIPPING AND DELIVERY

Current delivery methods, charges and estimated delivery times are set out in our Shipping Policy and shown during checkout.

Delivery times are estimates unless expressly stated to be guaranteed.

Miuete will endeavour to deliver orders within the period communicated to the customer and, in all cases, within the limits required by applicable law.

The customer must provide a complete and accurate delivery address. Miuete will not be responsible for delays caused solely by incorrect or incomplete delivery details provided by the customer.

Unless the consumer independently arranges a carrier not offered by Miuete, the risk of loss or damage remains with the seller until the consumer, or a third party designated by the consumer other than the carrier, takes physical possession of the goods.

If an order is lost during delivery arranged by Miuete, the customer will be entitled to the appropriate remedy under applicable law.

8. RECEIVING YOUR ORDER

We recommend inspecting the order after delivery.

If a product is damaged, defective, missing or incorrect, the customer should contact Miuete at info@miuete.com as soon as reasonably possible.

Failure to notify us immediately does not remove a consumer's statutory rights in relation to non-conforming goods.

Where the error, damage or lack of conformity is attributable to Miuete, the costs necessary to remedy the problem will be borne by Miuete as required by applicable law.

9. STATUTORY RIGHT OF WITHDRAWAL

Consumers purchasing at a distance generally have 14 calendar days in which to withdraw from the contract without giving a reason and without penalty.

For goods, the period begins on the day on which the consumer, or a third party designated by the consumer other than the carrier, takes physical possession of the goods.

To exercise the right of withdrawal, the consumer must communicate an unequivocal decision to Miuete before the relevant period expires.

The consumer may do so:

• by using the electronic withdrawal function available in the online store throughout the statutory withdrawal period; or

• by sending an unequivocal statement to info@miuete.com.

Where withdrawal is submitted through the electronic withdrawal function provided in the Store, Miuete will provide confirmation of receipt without undue delay on a durable medium, such as by email.

After notifying Miuete of the withdrawal, the consumer must return the goods without undue delay and no later than 14 days after communicating the decision to withdraw, unless Miuete has agreed to collect them.

The consumer may inspect the goods in the same way as they could reasonably do in a physical store. The consumer will only be responsible for any diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.

10. RETURN COSTS AND REFUNDS FOLLOWING WITHDRAWAL

Unless Miuete expressly states that it will bear the return costs, the consumer must bear the direct cost of returning goods when exercising the right of withdrawal simply because they have changed their mind.

This does not apply where the product is incorrect, defective or otherwise non-conforming for a reason attributable to the seller.

Following a valid withdrawal, Miuete will reimburse the payments received from the consumer, including the cost of the least expensive standard delivery method offered for the order.

Additional delivery costs resulting from the consumer voluntarily selecting a more expensive delivery method than the least expensive standard option will not be refunded.

The refund will be made without undue delay and in any event no later than 14 days after Miuete has been informed of the decision to withdraw.

For sales of goods, Miuete may withhold the refund until the returned goods have been received or until the consumer provides evidence that they have sent the goods back, whichever occurs first.

Unless expressly agreed otherwise, the refund will be made using the same payment method used for the original transaction and the consumer will not incur any fees as a result of the refund.

11. EXCEPTIONS TO THE RIGHT OF WITHDRAWAL

The statutory right of withdrawal does not apply in cases expressly excluded by applicable law.

Among other legally recognised exceptions, the right may not apply to goods made to the consumer's specifications or clearly personalised, such as certain engraved or specially commissioned pieces.

Other exceptions expressly provided by law may also apply, including to certain sealed goods that are not suitable for return for health protection or hygiene reasons once unsealed.

These exceptions will be interpreted narrowly and will not restrict consumer rights where the relevant statutory exception does not apply.

12. MIUETE'S VOLUNTARY 30-DAY RETURN POLICY

In addition to the statutory right of withdrawal, Miuete voluntarily offers a commercial return period of up to 30 days from receipt of the product, subject to the conditions set out in our Returns and Refunds Policy.

This voluntary policy extends the period available for certain returns and does not limit or replace the consumer's statutory rights.

For returns requested after the statutory withdrawal period has expired and up to day 30, Miuete may require that the product:

• is unused and unworn;

• retains any original tags;

• remains in its original condition;

• includes its original packaging where reasonably necessary; and

• is accompanied by proof of purchase.

Exceptions to this voluntary return policy may apply to personalised, made-to-order or other products expressly identified as non-returnable, where permitted by applicable law.

The customer may be responsible for the cost of a voluntary return made simply because they have changed their mind. The applicable conditions and, where relevant, return cost will be communicated before the return is processed.

13. STATUTORY LEGAL GUARANTEE OF CONFORMITY

All products sold to consumers are protected by the statutory legal guarantee of conformity provided under applicable law.

For sales directed to consumers resident in Spain, new goods are generally covered by a statutory liability period for lack of conformity of three years from delivery, without prejudice to any more favourable mandatory rights that may apply.

A lack of conformity may exist, among other circumstances, where a product:

• does not correspond to its description;

• does not have the qualities reasonably expected or advertised;

• is not fit for the purposes normally expected of goods of the same type; or

• has a defect that existed at the time of delivery within the meaning of applicable law.

Where goods are not in conformity, the consumer may, depending on the circumstances and applicable law, be entitled to repair or replacement and, where the statutory conditions are met, to a price reduction or termination of the contract and an appropriate refund.

Measures required to bring the goods into conformity will be provided free of charge where required by law.

Normal wear and tear, accidental damage, improper use or failure to follow reasonable care instructions will not by themselves constitute a lack of conformity attributable to the seller, without prejudice to the consumer's mandatory statutory rights.

Any additional commercial guarantee offered by Miuete or a manufacturer applies in addition to the statutory legal guarantee and never replaces or reduces it.

14. PROMOTIONS, DISCOUNTS AND CODES

Miuete may offer promotions, discounts or promotional codes subject to specific conditions.

Unless otherwise stated, promotions:

• are valid for the period announced or while stocks last;

• cannot be redeemed for cash;

• may be limited to particular products, customers, markets or periods;

• may not be combined with other offers where this is expressly stated.

If these Terms conflict with the specific conditions of a promotion, the promotional conditions will prevail for that offer, provided that they do not reduce any mandatory consumer rights.

15. INTELLECTUAL PROPERTY

Content made available by Miuete, including trademarks, logos, photographs, text, designs, graphics, visual elements and other protected material, belongs to UAB Sidabriniai or is used with the relevant permission.

Access to the Store does not grant the user ownership rights in any such content.

Protected content may not be copied, reproduced, distributed, modified or commercially exploited without prior permission except where such use is expressly permitted by applicable law.

16. DATA PROTECTION AND COOKIES

Personal data is processed in accordance with our Privacy Policy and applicable data protection legislation, including, where applicable, the European Union General Data Protection Regulation.

The use of cookies and similar technologies is governed by our Cookie Policy and the consent choices made available through the Store.

17. LIABILITY

Nothing in these Terms excludes or limits Miuete's liability where such exclusion or limitation is prohibited by applicable law.

In particular, these Terms do not limit a consumer's statutory rights regarding defective or non-conforming products, failure to deliver, damage resulting from fraud or negligence where liability cannot lawfully be excluded, or any other mandatory liability.

Miuete will not be responsible for losses caused solely by circumstances outside its reasonable control where applicable law permits such liability to be excluded.

For consumer customers, Miuete will not be responsible for purely business or professional losses unrelated to a purchase made for personal or household purposes.

18. FORCE MAJEURE

Miuete will not be responsible for delays or failures caused by unforeseeable or unavoidable events outside its reasonable control, including natural disasters, conflicts, major transport disruptions, actions of public authorities, widespread infrastructure failures or similar events.

This provision does not affect any mandatory consumer rights, including rights arising from a failure to deliver where applicable.

19. COMPLAINTS AND CUSTOMER SERVICE

For any question, complaint or issue relating to a purchase, the customer may contact Miuete at:

Miuete will seek to resolve complaints in good faith and within a reasonable period.

Consumers retain the right to contact competent consumer protection authorities, alternative dispute-resolution bodies or courts where available under applicable law.

20. GOVERNING LAW AND JURISDICTION

These Terms and contracts entered into with UAB Sidabriniai are generally governed by the laws of the Republic of Lithuania.

However, where the customer is a consumer, this choice of law will not deprive the consumer of the protection provided by mandatory provisions of the law that would otherwise apply in the consumer's country of habitual residence under European Union rules and other applicable legislation.

In particular, where Miuete directs its commercial activities to consumers resident in Spain, those consumers retain the mandatory protection available to them under Spanish and European Union consumer law.

Any dispute will be subject to the courts having jurisdiction under applicable consumer-protection and jurisdiction rules.

Nothing in this clause requires a consumer to bring proceedings exclusively before the courts of Lithuania where applicable law gives the consumer the right to bring proceedings before the courts of their place of residence.

21. CHANGES TO THESE TERMS

Miuete may update these Terms where necessary as a result of legal, operational, technical or commercial changes.

The version applicable to a purchase will be the version in force and made available to the customer when the order was placed.

Subsequent amendments will not retroactively change the rights and obligations arising from orders already concluded unless required by law.

The date of the latest update will appear at the beginning of this document.

22. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful or unenforceable, this will not affect the validity of the remaining provisions.

The affected provision will, to the extent permitted by law, be interpreted or replaced in a manner that best preserves its legitimate purpose and the consumer's mandatory rights.

23. LANGUAGE

These Terms may be made available in several languages.

For purchases made through the Spanish version of Miuete and directed to the Spanish market, the Spanish version is the reference version.

This provision does not limit any consumer right arising from contractual information provided to them in another language during the purchasing process.
